BYLAWS FOR THE DANISH-BHUTANESE FRIENDSHIP ASSOCIATION

 

§1

The name of the organisation is: Danish-Bhutanese Friendship Association

 

§2

The objective of the association is to promote cooperation between Bhutan and Denmark and to increase the countries' knowledge of each other.

 

This includes to disseminate information about Bhutan in Denmark and to contribute to mutual understanding between Bhutan and Denmark as well as to increase the possibilities of interpersonal contacts between Bhutan and Denmark – including assisting Bhutanese staying in Denmark.

 

§3

Membership of the association can be obtained by individuals, organisations, institutions, associations, businesses, etc.

 

§4

The general assembly is the association's highest authority. It is held annually before the end of March. Each member has one vote provided the current membership fee has been paid. Voting can be done through power of attorney. Each member can only have one power of attorney.

 

The general assembly makes its decisions based on simple majority, unless it is otherwise specified below.

 

Ekstraordinær assembly can be organised should the board find it necesssary or if ten members in a written motion makes such a request to the board in which case an agenda for the assembly has to be included.

 

Calls for general assembly and extra assembly shall be done in writing three weeks in advance.

 

§5

The general assembly elects a board conssisting of between 5 and 7 members

 

Two substitutes are elected.

 

The board constitutes it self.

 

Decisions by the board can only be made when half its members are present.

 

Decisions by the board are made through simple majority.

 

§6

The board suggests the membership fees for the coming year.  The final decision is made annually by the general assembly.

 

§7

The association's fiscal year follows the calendar year.

 

The audited account is included with the call for the general assembly.

 

In the general assembly a independent auditor is elected together with a substitute.

 

§8

Changes in the bylaws or dissolvement of the organisation need a 2/3 majority on two adjacent assembly meetings.

 

§9

Signatory to the association is chairperson or treasurer together with one other board member.

 

§10

In case of dissolvement, the association's assets goes towards activities which are of general benefit  to the people of Bhutan.

 

Which activities to support will be decided on the general assembly.

 

These bylaws were agreed upon on the general assembly.
